Subscription Terms - for professional users only
The below subscription terms (the "Terms") apply to all on-line products (the "Products") offered by the Grodan e-shop ("e-shop"). The expression "you" herein shall mean you as a subscriber of the Products.
Please read the Terms carefully and let us know if you have any questions.
1. e-shop Info
e-shop is owned and operated by Grodan A/S, CVR. No 78 41 66 10, Hovedgaden 501, 2640 Hedehusene, Denmark and any references to e-shop in these Terms shall therefore be taken to mean Grodania A/S.

2. Use of the Products
The Products consist of various computer programs [for on-line calculation of fertil-izer recommendations] via e-shop's web-site. The Products are intended for profes-sional use only and may not be used for private, non-commercial use. IF YOU ARE A PRIVATE, NON-COMMERCIAL USER, YOU MAY NOT SUBSCRIBE.
By subscribing to one or more of the Products you obtain a non-exclusive license to make use of the Product(s) via e-shop's site throughout the subscription period. You may not attempt to download or copy the Products or any parts hereof. Further, the license is personal and non-assignable. You may therefore not make the Products available to third parties or use them for the processing of third party data.
3. Updates
e-shop is entitled to change and modify the Products an make new releases hereof at any time during the subscription period. To the extend that any such modifications or changes significantly alter the functionality of the Program, the subscribers will be notified hereon at the web-site.
4. Payment
The subscription fee specified at the sign-up form covers the full subscription period that you have chosen and falls due in full when signing up. If you wish to continue your subscription beyond the subscription period, a new subscription fee must be paid.
All prices stated at e-shop's site are inclusive of VAT and all duties where applicable.
Payments may be made with Visa card, Master card, Eurocard. Payments by use of credit cards are made via a secured server, any the information submitted in connection with the payment transaction are protected by encryption.
5. Termination
The subscription for the Products automatically expires at the end of the subscription period that you have chosen.
During the subscription period, your use of the Products may be disrupted immedi-ately and without prior notice if you materially breach these Terms for instance by using the Products in an unauthorized manner or in the event of charge backs of credit card payments.
6. Availability of the Products
e-shop shall use every reasonable endeavour to make sure that the Products are available and accessible at the web-site at all times, but provides no warranties to this end. In the event that the Products are inaccessible for a period exceeding ten (10) per cent of the subscription period and this is not a result of errors at your end, you may as your sole and exclusive remedy demand to have the subscription period prolonged for a period equal to the period of inaccessibility
You bear full responsibility for obtaining and maintaining a reliable and secure Inter-net connection necessary to access the e-shop web-site.
7. Exclusion of Liability
E-SHOP MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND AS TO THE ACCURACY OR COMPLETENESS OF THE INFORMATION CONTAINED IN THE PRODUCTS OR ITS WEB-SITE. WITHOUT LIMITING THE FOREGOING, NEITHER E-SHOP NOR ITS AFFILIATES OR BUSINESS PARTNERS WARRANT THAT THE WEB-SITE OR THE PRODUCTS ARE ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PRODUCTS, OR AS TO THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION PROVIDED IN CONNECTION WITH USE OF THE PRODUCTS.
BY USING THE PRODUCTS, YOU ACCEPT THAT NEITHER E-SHOP NOR ANY OF ITS AFFILIATES OR BUSINESS PARTNERS MAY BE HELD LIABLE FOR ANY DAMAGES INCLUDING, BUT NOT LIMITED TO DIRECT OR INDIRECT LOSSES WHICH MIGHT BE ATTRIBUTED TO ERRORS, DEFECTS ETC. IN THE PRODUCTS OR WHICH MIGHT BE ATTRIBUTED TO CORRECT OR INCORRECT USE HEREOF.
8. Password and user name
As part of the sign-up process, you will choose a user name and password and pro-vide e-shop with various other information. You are responsible for providing accu-rate sign-up information and for updating it as required. e-shop reserves the right to change or revoke your user name as e-shop deems his to be necessary. You may not select or use a user name of another person and you are responsible for main-taining the confidentiality of your password.
9. Processing of Customer Information
e-shop will register your name, address and various other information that you submit when you sign up and make use of the Products. The said information will be kept in strict confidentiality and will only be processed by e-shop for our internal purposes and in order to facilitate your proper use of the Products. In no event will we use per-sonal data to forward unsolicited e-mails with marketing material or disclose such data to third parties for marketing purposes.
Data generated in connection with your use of the Products may be submitted to third party analysts for the purposes of analysis (and for no other purpose). The results of any such analysis will be made available to you and may not be used by e-shop or the said third party analysts for their own commercial use.
Customer information will normally be stored for five (5) years after the registration hereof, but it may be stored for a longer period of time, provided that such continued storage serves a legitimate business purpose.
e-shop makes use of cookies and log files at our web-site which provide e-shop with valuable information on the use of our web-site. e-shop uses this information to im-prove our web-site and the Products and not for any other purposes. e-shop also makes use of data warehousing to collect, register and systematise information on the traffic at our site for the same purposes.
Any processing of personal information is conducted in full compliance with the rules set out in the Danish Act on Personal Data ("Persondataloven").
10. Intellectual Property Rights
e-shop's web-site contains copyrighted material, trademarks and other proprietary information, which belongs exclusively to e-shop and our business partners. Hence, you may not copy the content of our web-site in whole or in part or make use of any trademarks, service marks and trade names displayed hereon without e-shop's prior written consent.
You may use the Products in accordance with these Terms only. You may not attempt to reverse engineer or copy the Products or the underlying software or use them in any manner not authorized by e-shop.
11. Governing law and jurisdiction
These Terms shall be governed by Danish law without regard to Danish conflict of law rules. Any dispute arising out of or in connection with these Terms or the use of the Products shall be referred to the Maritime and Commercial Court in Copenhagen as first instance venue. |
